1. Introduction

These terms and conditions govern your use of the services of Foundation SVKO-Mayamba-Support
and any agreements or collaborations with other organizations. By engaging with
Foundation SVKO-Mayamba-Support, you fully accept these terms. If you do not
agree with these terms or any part of them, you may not use our services

2. Parties Involved

The
agreement is entered into between the following parties, hereinafter
collectively referred to as “the parties”:

• The local community and/or project organization(s) in the implementing country
• Any implementing institutions or academies associated with the project
• The supporting foundation SVKO-Mayamba-Support, based in the Netherlands

(The specific parties will be defined separately for each project.)

3. Scope of the Project

1. The parties will collaborate on one or more development, sports, education, or social projects.
2. Each party retains the right to organize its own activities, provided these do not conflict with the objectives of the joint projects.

4. Cooperation Agreement

1. The parties intend to establish further arrangements for each project in a separate cooperation agreement. This agreement may include, among other things: – tasks and responsibilities – planning and implementation –financial arrangements – reporting and evaluation
2. Any binding agreement must be documented in writing and signed by authorized representatives of all parties.

5. Confidentiality

1. “Confidential information” refers to all information designated as confidential or that can reasonably be considered confidential.
2. Each party agrees not to disclose confidential information of the other party to third parties without written consent.
3. The parties will take reasonable measures to protect confidential information from unauthorized access.
4. Upon request, all received confidential information must be returned, and no copies may be retained.

6. Termination and Amendment

1. An agreement is valid for a period of 18 months from the date of signing and is automatically extended by six-month periods unless one of the parties terminates it in writing.
2. Termination may occur by mutual consent or by either party with a notice period of one month.
3. Any separate cooperation agreements remain in effect after termination unless otherwise agreed.
4. Amendments or additions to this agreement are only valid if documented in writing and signed by all parties.

7. General Provisions

1. Parties are free to carry out projects independently or with third parties and are not required to work exclusively with each other.
2. Except for the confidentiality provisions, this agreement is non-binding and serves as a declaration of intent.
3. This agreement does not obligate any party to enter into a cooperation agreement or to carry out a project.
4. This agreement is governed by the laws of the Netherlands and/or the laws of the implementing country.

8. Representatives

1. Each party may appoint a representative to manage the cooperation.
2. These representatives are responsible for: – communication between the parties – oversight of project implementation – coordination of practical matters

9. Signatories

An
agreement is signed by authorized representatives of each party, in the
presence of witnesses. Participants in one or more projects agree to the above
